RUNWAY FINANCIAL FORECAST PLATFORM AGREEMENT

THIS RUNWAY FINANCIAL FORECAST PLATFORM AGREEMENT GOVERNS THE CUSTOMER’S ACCESS AND USE OF THE RUNWAY FINANCIAL FORECAST PLATFORM AGREEMENT, SERVICES AND PLATFORM. BY ACCEPTING THIS AGREEMENT, BY (1) CLICKING A BOX INDICATING ACCEPTANCE, OR (2) EXECUTING AN ORDER FORM THAT REFERENCES THIS AGREEMENT, THE CUSTOMER AGREES TO THE TERMS OF THIS AGREEMENT. “CUSTOMER” SHALL REFER TO SUCH ENTITY THAT ACCEPTS THIS AGREEMENT.

All terms defined in the singular will have the same meanings when used in the plural, where appropriate and unless otherwise specified. Capitalized terms not defined in Clause 1 shall have the meaning as set out in the rest of the Agreement:

DEFINITIONS

1. a. “Account” means the self-service account created by the Customer on Runway Financial Forecast Platform for using the Services.

2. b. "Activation Date" means the date on which Customer is provided access to the Subscription.

3. c. "Affiliate" means any entity that directly or indirectly controls is controlled by or is under common control of Runway Financial Forecast Platform or the Customer as the case may be. “Control,” for purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity. Each party is responsible for the acts and omissions of its Affiliates hereunder.

4. d. "Authorized Administrator" means the authorized employees or consultants of the Customer who; (a) are given password-protected login access to the Subscription; (b) have the authority on behalf of Customer to host Events and or administer the End Users within the Subscription, and (c) who may contact Runway Financial Forecast Platform Support directly by Clause 2 (iii) herein.

5. e. "Agreement" means this Runway Financial Forecast Platform Subscription Agreement.

6. f. "Confidential Information" includes any technical and non-technical information but not limited to the Platform and its features, trade secrets, patents, copyrights, Customer Data, End User Data, ideas, designs, images, videos, inventions, proprietary information, know-how, formulas, databases, any development plans, forecasts, strategies, business plans, analyses, network information, data, predictions, projections, intellectual property, contracts, proposals, documents, electronic designs, drawings, specifications, schematics, writings, materials, operations, procedures, know-how, financial information, in any way related to the current, future and proposed business.

7. g. "Customer Data" means all data submitted, displayed, and/ or uploaded by the End User and/or Authorized Administrator(s) and/or the Customer while registering for, accessing, hosting an Event, and/ or otherwise using the Platform.

8. h. "Customer Property" means mobile phones, computer systems, and other such equipment owned, used, and/ or managed by the Customer on which the Platform can be accessed.

9. i. The customer is a term that encompasses both standard and premium customers.

10. j. "Dashboard" means the interface that enables the Customer to access, provision, customize, manage, and/ or review the usage of the Platform and its features.

11. k. "End Users" or "Attendees" means the end user of the Customer who shall be attending the Events of the Customer on the Platform.

12. l. "Event" means any virtual, in-person, and /or hybrid event, which shall also include test events, and internal and/or external events run by the Customer.

13. m. "Features" means the features of the Platform specified in the Order Form that the Customer chooses under the Subscriptions.

14. n. "Force Majeure Events" means and includes (a) acts of God; (b) a natural disaster (fires, explosions, earthquakes, hurricane, flooding, storms, explosions, infestations), epidemic, or pandemic; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order or law; (e) actions, embargoes or blockades in effect on or after the date of this Agreement; (f) action by any governmental authority; (g) national or regional emergency; (h) strikes, labor stoppages or slowdowns or other industrial disturbances; and (i) shortage of adequate power or transportation facilities.

15. o. “Runway Financial Forecast Platform” or “Platform” means and includes Runway Financial Forecast Platform’s online proprietary platform (including but not limited to the Dashboard, as applicable) and its features and its related software and algorithm through which the Customers can host and organize virtual conferences and Events.

16. p. "License Fee" or "Fee" means the fees payable by the Customer under the Agreement as more particularly detailed in the Order Form.

17. q. "Malicious Code" includes code, worms, bugs, trojans, files, scripts, agents, or programs by whatever name which are intended, or otherwise likely to disrupt, damage, prejudice or gain unauthorized access to a computer system or otherwise adversely affect their recipient or computer systems or infrastructure that they are accessed or installed on, including, without limitation, viruses, worms, time bombs, ransomware, spyware, adware, and/or trojan horses.

18. r. "Order Form" means an ordering document specifying the License Fee, Term, and the Services to be provided hereunder.

19. s. "Personal Identifiable Information" or “PII” means any information of the End Users that can be used to distinguish or trace an individual’s identity, such as name, e-mail id, phone number, date and place of birth, mother’s maiden name, or biometric records, login details, etc.; and any other information that is linked or linkable to an individual, such as Internet Protocol (IP) or Media Access Control (MAC) address, financial and employment information, etc.

20. t. "Plan" means a pre-defined subscription package consisting of certain Feature/s offered by Runway Financial Forecast Platform to its Customers.

21. u. "Services" means and includes the Subscription access, Security, and Support provided by Runway Financial Forecast Platform.

22. v. "Subscription" means the subscription(s) to the Platform as identified on the Order Form. Subscription is a limited, non-exclusive, non-transferable, revocable license given by Runway Financial Forecast Platform to the Customer to enable the Customer, and for the Customer to allow its Authorized Administrator/s and or the End User/s to access and use the Platform and its feature/s by this Agreement, Other Agreements, including the related Support that may be provided by Runway Financial Forecast Platform from time to time for the Subscription.

23. w. "Term" means the initial term as given in the Order Form, commencing on the start date and ending on the end date mentioned therein, as well as subsequent renewed term/s.

Services Provided

1. 1. On timely and full payment/s by Customer in terms of the Order Form, Runway Financial Forecast Platform agrees to provide the Customer the following Services:

2. 2. Subscription: Runway Financial Forecast Platform will make the Subscription available to Customer over the Internet for Customer’s use only, as more particularly outlined hereunder.

3. 3. The Runway Financial Forecast Platform shall provide customers with the ability to request Maintenance Features [MF] or Additional Features [AF] depending on their subscription. The Runway Financial Forecast Platform has the authority to decide whether to accept or reject any features suggested by customers, whether they are Maintenance Features [MF] or Additional Features [AF], without any prior notice.

4. 4. Reports refers here, Runway Financial Forecast Platform data generated at “Financial Reports”, “Dashboard”, “Financial Analysis”, “Financial Models”, “Scenario Analysis”, “Investment”, “Capital Budgeting”, “Budgeting Logs”.

5. 5. Runway Financial Forecast Platform shall provide Customer access to the Dashboard on the Platform under the Customer executing this Agreement and paying the License Fee.

6. 6. The price of your plan will remain unchanged until you make a plan change. Furthermore, we have the option to modify the price for new clients.

7. 7. “Fees” means the monthly subscription fees for the Services as set out in the fee schedule available at https://runwayfinancialforecast.netlify.app/, as revised from time to time, unless otherwise provided.

   1. a. Runway Financial Forecast Platform hereby grants to the Customer a worldwide, limited, non-exclusive, revocable, and non-transferable license to access and use the Feature/s as mentioned in the Order Form.

   2. b. Security: Runway Financial Forecast Platform will operate an information security program utilizing industry-standard measures and technologies to protect Customer Data from unauthorized disclosure or access. In addition to the Customer’s responsibilities outlined elsewhere in the Agreement, Customer shall implement industry-standard security measures to prevent unauthorized or fraudulent use of Runway Financial Forecast Platform Platform by Customer, Customer’s employees, consultants, agents, Authorized Administrator, or any other third parties authorized by Customer to access the Subscription on Customer’s behalf.

   3. c. Suport: Runway Financial Forecast Platform will provide remote email support to the aggregate number of Authorized Administrators. The support email address will be identified on the applicable Order Form. Such support consists solely of assistance with usage questions or troubleshooting bugs related to the Subscription granted by Runway Financial Forecast Platform (“Support”). Support services are provided on a 24-hour basis from Monday through Friday, (except CANADA. holidays). Runway Financial Forecast Platform shall also provide support to the Customer during onboarding for easy navigation of the Features/s. Runway Financial Forecast Platform may also support Customers during a dry run.

   4. d. Order Form Process: Orders for additional Attendees or Authorized Administrators or Subscriptions or Services will be confirmed upon both parties executing an Order Form. Unless specified to the contrary in an Order Form the annual fees for any added Attendees or Authorized Administrator/s will be prorated from the Activation Date of the added Authorized Administrator/s and synchronized to the invoicing already in effect for the existing Subscriptions.

Representations and Warranties by Runway Financial Forecast Platform

1. the website, services, subscription, platform, and feature/s are provided by runway financial forecast platform on an “as-is” basis. runway financial forecast platform expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranty of merchantability or fitness for a particular purpose, title, and non-infringement. runway financial forecast platform does not warrant that the platform or its features will meet customers' requirements or that the operation of the platform and its related services will be uninterrupted, secure, error-free or bug-free, free of viruses, malware, unauthorised data or programming code or that errors if any can be found or corrected.

2. you agree that from time to time runway financial forecast platform may remove the site or cease providing the services for indefinite periods of time without notice to you. your access and use of the site and the services may be interrupted from time to time for any of several reasons, including, without limitation, the malfunction of equipment, periodic updating, maintenance or repair of the site or services or other actions that runway financial forecast platform, in its sole discretion, may elect to take. runway financial forecast platform makes no guarantee regarding: (a) the amount, timing and delivery of any clicks or impressions with respect to any content (including third party content) or advertising on the site or services; or (b) the compatibility of any software, hardware or content with the site or services.

3. runway financial forecast platform is not responsible for the acts or omissions of, or for the failings of, any third-party provider of any content, service, network, software or hardware, including but not limited to, internet service provider, hosting services utilized by runway financial forecast platform, telecommunications provider, gpt technology, content provided by other users, or any software or hardware not provided by runway financial forecast platform.

4. You are solely responsible for ensuring that Your CONTENT is compatible with THE SITE AND SERVICES. Runway Financial Forecast Platform disclaims any liability or responsibility for any unauthorized use of Your CONTENT by third parties or OTHER Users of THE SITE AND SERVICES and is not responsible for protecting Your CONTENT.

5. any material downloaded or otherwise obtained through the use of the site or services is done at your own discretion and risk and you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.

6. no information, whether oral or written, obtained by you from runway financial forecast platform or through or from the site or services will create any warranty not expressly stated in this agreement.

8. THE SITE AND SERVICES ARE offered and controlled by RUNWAY FINANCIAL FORECAST PLATFORM from its facilities in Canada. RUNWAY FINANCIAL FORECAST PLATFORM makes no representations that THE SITE OR SERVICES ARE appropriate or available for use in other locations. Those who access or use THE SITE OR SERVICES from other jurisdictions do so at their own volition and are responsible for compliance with local law.

Intellectual Property Rights

1. All material available on the Site and all material and services provided by or through Runway Financial Forecast Platform, its affiliates, subsidiaries, employees, agents, licensors, or other commercial partners including, but not limited to, software, Reports, all informational text, software documentation, design of and “look and feel”, layout, photographs, graphics, audio, video, messages, interactive and instant messaging, design and functions, files, documents, images, or other materials, whether publicly posted or privately transmitted as well as all derivative works thereof (collectively, the “Materials”), are owned by us or our licensors or service providers, and are protected by copyright, trademark, trade secret, and other intellectual property laws.

2. Subject to your compliance with all of the terms and conditions of this Agreement, during the term of this Agreement, Runway Financial Forecast Platform grants to you a non-transferable, non-sublicensable, non-exclusive, revocable, limited-purpose right to access and use the Materials that we make available to you, subject to compliance with applicable laws. You may download, copy, use, and share Reports strictly to provide financial reports and services, provided you do not publicly distribute Reports on a website or otherwise.

3. If Runway Financial Forecast Platform, in its sole discretion and without notice, considers that there is an immediate security or operational risk to the Services or any of its, your or a third party system, then Runway Financial Forecast Platform may immediately suspend access to or use of the Services. The suspension of use and access is not a breach of this Agreement. You acknowledge that the preservation of security, confidentiality and data is paramount. Runway Financial Forecast Platform has no liability to you for suspending the Services under this provision.

4. This section does not apply to Content; however you agree that any ideas, suggestions, concepts, processes or techniques which you provide to Runway Financial Forecast Platform related to the Services, the Site or Runway Financial Forecast Platform or its business (“Feedback”) are and will be Runway Financial Forecast Platform’s exclusive property without any compensation or other consideration payable to you by Runway Financial Forecast Platform, and you do so of your own free will and volition. Runway Financial Forecast Platform may or may not, in its sole discretion, use or incorporate the Feedback in whatever form or derivative Runway Financial Forecast Platform may decide into the Site, the Services, its software, documentation, business or other products or services, or any future versions or derivatives of the foregoing. You hereby assign all rights on a worldwide basis in perpetuity to Runway Financial Forecast Platform in any Feedback and, as applicable, waive any moral rights.

5. The Services may permit you to make modifications to Runway Financial Forecast Platform, including without limitation by adding comments or information to Runway Financial Forecast Platform or hiding content contained in Runway Financial Forecast Platform. You acknowledge and agree that you are solely responsible for all such Runway Financial Forecast Platform modifications and the consequences for such Runway Financial Forecast Platform Report Modifications.

6. For the purposes of this Agreement and the Privacy Policy, “personal information” is any information about an identifiable individual, as defined in our Privacy Policy.

7. Runway Financial Forecast Platform retains the right to use or share any Aggregated Data generated by anyone using the Site or the Services, including our users, for the purpose of enhancing and providing the Services. “Aggregated Data” means data that does not contain personal information, and which has been manipulated or combined to provide generalized, anonymous information. You are still responsible for any and all personal information that is part of any Content (as defined below).

No Opinion or Advice

1. The Services provide you with information relating to your business financial modeling and financial reports and any information presented by the Services is believed by Runway Financial Forecast Platform to be presented as fact but not independently verified. The Services do not form any opinion whatsoever on the merits of any financial or any sort of business related transaction whatsoever. The Services do not provide you or any other person or third party with any advice or representation whatsoever relating to any decision for a financial transaction. The Services use statistics, analytics and computer algorithms to display what Runway Financial Forecast Platform believes are facts relating to your business profitability, and all information provided through the Services has not been generated based on any opinion or subjective nature. Any output of the Services is provided as-is, and Runway Financial Forecast Platform makes no representation or warranty whatsoever as to the veracity or accuracy of any content provided. Use of any such content is at your own risk. Generative Pre-trained Transformers (GPT) technology is not suitable for seeking advice. While intriguing, relying on GPT for advice is akin to consulting a child. It is highly likely to overlook key details, misunderstand the inquiry, misinterpret information, or even generate inaccurate responses.

Your Profile Information and Account

1. If you sign up for an Runway Financial Forecast Platform account (“Account”), you agree that Runway Financial Forecast Platform is providing you with one user identification reference that you will use to create a username (your email address) and password (together, the “User ID”) to the extent, and only to the extent, necessary to access and use the Site and Services in accordance with this Agreement. You agree and understand that you are responsible for maintaining the confidentiality of your User ID. That User ID, together with any or other user information you provide, will form your “Profile Information” and allow you to access your Account. You will provide true, accurate, current and complete information about yourself, and you agree not to misrepresent your Profile Information. You represent and warrant to Runway Financial Forecast Platform that you have not misrepresented any Profile Information. You are responsible for any Profile Information that may be lost or unrecoverable through the use of the Site or Services.

2. Your right to access and use the Services is personal to you and is not transferable by you to any other person or entity. You agree not to disclose your User ID to any third party. You are solely responsible for all activities that occur under your Account or under your Profile Information. If you become aware of any unauthorized use of your Account or Profile Information, you are responsible for notifying Runway Financial Forecast Platform immediately. It is your responsibility to update or change any Account or Profile Information, as appropriate.

Fees and Renewals

1. If you purchase any fee-based Services, you agree that Runway Financial Forecast Platform, or Runway Financial Forecast Platform’s third party service providers, may store your credit card or other payment information. You expressly agree that Runway Financial Forecast Platform is authorized to charge you (i) a fee for any applicable Services for which you have subscribed, billed on a basis of a subscription period, (ii) any other fees for Services you may purchase, (iii) any charges for use of the Services in excess of the usage or other limits placed on your use of the Services (and you hereby consent to such charges and agree we are not required to notify you of any such charge in advance), and (iv) any applicable taxes in connection with your use of the Services to the credit card or other payment information you provide and to reimburse Runway Financial Forecast Platform for all collection costs and interest for any overdue amounts. If you are using a promotion, trial credit or enterprise account, you may still be charged for premium services such as providing a share link, combined file, or rush fee. If the credit card or other payment information you provide expires and you do not provide new credit card or payment information or cancel your account, you authorize Runway Financial Forecast Platform to continue billing you for your use of the Services and you agree to remain responsible for any uncollected fees. Runway Financial Forecast Platform reserves the right to modify any applicable fees at any time upon 30 days written notice by posting such fee changes through the Services or through email notification to you. You will be liable to pay such modified fees.

2. You take full responsibility for all taxes and fees of any nature associated with the Services, including any sales tax related to any purchase or sale of services or goods under this Agreement. When purchasing services or goods under this Agreement, it is your responsibility to determine whether or not sales taxes apply to a transaction and to collect, report and remit the correct amounts to the appropriate authority.

3. Subscription services are offered on the basis of their terms, with any included product(s) expiring on completion of the period offered. At the sole discretion of Runway Financial Forecast Platform, one or more unused report credits may be added to plans on renewal. If a refund is provided relating to fee-based Services, you will not be refunded any transaction or processing charges incurred by Runway Financial Forecast Platform in the delivery of such fee-based Services, unless, at the sole discretion of Runway Financial Forecast Platform, a full refund is warranted.

Enterprise Plans

1. If Your Auditor or Investor or Business owner has entered in to an enterprise pricing plan with Runway Financial Forecast Platform (an “Enterprise Plan”), (a) receive, at no additional charge to you, a subscription to access and use the Services under the Enterprise Plan; or (b) gain access to discounted pricing for a subscription to the Services. You agree not to disclose the Sign-up Code to any third party and to protect the Sign-up Code from loss and unauthorized use. In order to access and use the Services through a subscription purchased under the Enterprise Plan, you must register for an Account (or have an existing Account) and then submit the Sign-up Code through the mechanism provided as part of the Services. Certain products and services made available to you through the Services may be subject to additional charge or may not be covered under the Enterprise Plan.

Submission of Content

1. The Site and the Services available thereon enable you to submit, provide or upload content, including but not limited to financial snapshot related documentation, messages, materials, data, text, music, sound, photos, videos, graphics, applications, code and other information or content (collectively, “Content”), to Runway Financial Forecast Platform for the purpose of providing the Services. You acknowledge and agree that you are solely responsible for all Content you submit, provide or upload and the consequences for submitting, providing or uploading it.

2. You agree that by uploading, or otherwise providing any Content on or through the Site and/or the Services, you grant to Runway Financial Forecast Platform a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, process, display, and retain all or any portion of such Content in connection with providing the Services to you, as well as for the purpose of enhancing and providing the Services to other users and to develop other products and services, including without limitation by aggregating statistical data and analyzing such Content. This license includes the right to host, index, cache or otherwise format your Content for the foregoing purposes, and the right to sell or resell aggregated and/or specific data (Aggregated Data and Corporation Data) from the Content to third parties.

3. You agree that Runway Financial Forecast Platform is not responsible for any violations of any third party intellectual property rights in any Content that you submit to Runway Financial Forecast Platform. You agree to pay all royalties, fees and any other monies owing to any person by reason of the Content uploaded, displayed or otherwise provided by you to the Site.

4. Unless otherwise explicitly stated herein or in Runway Financial Forecast Platform’s Privacy Policy, Content shall be considered non-confidential and Runway Financial Forecast Platform is under no obligation to treat such Content as confidential.

Monitoring

1. Runway Financial Forecast Platform may, but has no obligation to, monitor Content and you consent to such monitoring. We may disclose any information necessary or appropriate to satisfy our legal obligations, protect Runway Financial Forecast Platform or its customers, or operate the Site or Services properly, or improve the Site or Services. Runway Financial Forecast Platform, in its sole discretion, may refuse to post, remove, or require you to remove, any Content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement, including, but not limited to the Privacy Policy.

Acceptable Use and Conduct

You agree that you will not publish or make available any Content that, or use the Site or Services in a manner that:

1. • infringes, violates or misappropriates any third party’s intellectual property or proprietary rights;

2. • contains software viruses, Trojan horses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

3. • is misleading, deceptive or fraudulent or otherwise illegal or promotes illegal activities, including engaging in phishing or otherwise obtaining financial or other personal information in a misleading manner or for fraudulent or misleading purposes;

4. • is libelous or defamatory, or that is otherwise threatening, abusive, violent, harassing, malicious or harmful to any person or entity, or is invasive of another’s privacy;

5. • is harmful to minors in any way;

6. • is hateful or discriminatory based on race, color, sex, religion, nationality, ethnic or national origin, marital status, disability, sexual orientation or age or is otherwise objectionable, as reasonably determined by Runway Financial Forecast Platform;

7. • impersonates a Runway Financial Forecast Platform employee, or any other person, or falsely states or otherwise misrepresents your affiliation with any person or entity, or to obtain access to the Site or Services or a portion thereof without proper authorization;

8. • interferes or attempts to interfere with the proper working of the Site or Services or prevents others from using the Site or Services, or in a manner that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Site, or that otherwise negatively affects other persons’ ability to use the Site or Services;

9. • uses any manual or automated means, including agents, robots, scripts, or spiders, to monitor or copy the Site or Services or the content contained therein;

10. • facilitates the unlawful distribution of copyrighted Content;

11. • except as expressly permitted by Runway Financial Forecast Platform, licenses, sublicenses, rents or leases the Services to third parties, or uses the Services for third party training, commercial time-sharing or service bureau use;

12. • includes personal or identifying information about another person in a manner that employs misleading email or IP addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Site or Services to users;

13. • constitutes or contains any form of advertising or solicitation to users who have requested not to be contacted about other services, products or commercial interests;

14. • stalks or otherwise harasses anyone on the Site or using the Services or with information obtained from the Site or Services;

15. • collects, uses or discloses data, including personal information, about users without their informed consent or for unlawful purposes or in violation of applicable law or regulations;

16. • requests, solicits or otherwise obtains access to usernames, passwords or other authentication credentials from any user of the Site or Services for the purposes of automating logins to the Site;

17. • attempts to gain unauthorized access to the computer systems of Runway Financial Forecast Platform or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Site or Services;

18. • posts adult or pornographic Content;

19. • decompiles or reverse engineers or attempts to access the source code of the software underlying the Site, the Services or any other Runway Financial Forecast Platform;

20. • copies, archives, stores, reproduces, rearranges, modifies, downloads, uploads, creates derivate works from, displays, performs, publishes, distributes, redistributes or disseminates all or any part of the Site or Services;

21. • accesses the Site or Services for the purposes of building a product using similar ideas, features, functions, interface or graphics as those found in the Site or Services;

22. • accesses the Site or Services for the purposes of monitoring its availability, performance or functionality, or for any other benchmarking or competitive purposes; or

23. • accesses the Site to upload any Content or computer code for the purposes of: (i) causing a breach or override of security to the Site or Services; (ii) interfering with the proper working, functionality or performance of the Site or Services; or (iii) preventing others from accessing or using the Site or Services.

Third Party Sites and Content

1. The Site may permit you to link to other websites or resources on the Internet, and other websites or resources may contain links to the Site. Exclusive Remedy and Limitation of Liability

1. you agree that, under no legal theory, including, but not limited to negligence, breach of warranty or condition, breach of contract or tort, will runway financial forecast platform or its owners, officers, directors, affiliates, contractors, employees or agents, be liable to you or any third party acting on your behalf for any indirect, incidental, special, consequential, punitive, or exemplary damages or damages for loss of profits, goodwill, use, data, or other intangible losses or the cost of any substitute equipment, facilities or services (even if runway financial forecast platform has been advised of the possibility of such damages), arising from or relating to this agreement or your use of or your inability to use the site or services, or for any damages arising from or related to this agreement. runway financial forecast platform’s total aggregate liability from any and all claims under this agreement is limited to the lesser of: (a) $10; and (b) the total amounts you paid to runway financial forecast platform in the one (1) year immediately preceding the occurrence of loss or damage. to the extent any province, state or jurisdiction does not allow the exclusion or the limitation of liability for consequential or incidental damages, runway financial forecast platform’s liability in such province, state or jurisdiction will be limited to the furthest extent permitted by law. notwithstanding the foregoing or anything else herein to the contrary, runway financial forecast platform will not be liable to you or any third party acting on your behalf in any way with respect to your provision of an individual’s personal information to runway financial forecast platform or through the services. you further agree that the foregoing limitations will apply with respect to third party liability of any kind.

2. the foregoing limitations will also apply with respect to any damages incurred by reason of any content or services provided on any third party sites or otherwise provided by any third parties other than runway financial forecast platform and received by you through or advertised on the site or received by you on any third party sites. you also agree that runway financial forecast platform will not be responsible or liable for any loss or damage of any kind incurred as the result of any interactions or dealings with advertisers or as the result of the presence of such advertisers on the site.

3. runway financial forecast platform will have no liability whatsoever for any damages, liabilities, losses or any other consequences that you may incur as a result of any modification, suspension or discontinuance of the site and/or the services.

Waiver of Jury Trial and Class Action Rights

Limitation of Time

1. You agree that you will not bring a claim under or related to this Agreement more than 12 months from when your claim first arose.

Indemnity

1. You agree to indemnify, defend, and hold harmless RUNWAY FINANCIAL FORECAST PLATFORM, and its subsidiaries, affiliates, co-branders, all third-party advertisers, technology providers, service providers or other partners, and each of their respective officers, directors, agents, shareholders, employees and representatives (together, the “Indemnified Parties”), from and against any third party claim, demand, loss, damage, cost, or liability (including, reasonable attorneys’ fees) (collectively and individually, “Claims”) incurred by or made against the Indemnified Parties in connection with any Claims arising out of or relating to this Agreement, the Site or the Services, including but without limitation in relation to: (a) your use, non-use or misuse of, or connection to the Site, the Services and any Content, including without limitation your Profile Information, Runway Financial Forecast Platform Report Modifications and any third party Content forming part of the Site; (b) your violation or alleged violation of this Agreement; and (c) your violation of any rights, including intellectual property rights, of a third party and otherwise as set out herein. Runway Financial Forecast Platform reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Runway Financial Forecast Platform and you agree to cooperate with Runway Financial Forecast Platform’s defense of these Claims. You agree not to settle any matter without the prior written consent of Runway Financial Forecast Platform. Runway Financial Forecast Platform will use reasonable efforts to notify you of any such Claims upon becoming aware of it.

Cancellation and Termination

1. You may unsubscribe your account from recurring fee-based services at any time through the web interface provided as part of the services. You may also cancel your account by contacting us and indicating your wish to completely cancel it. 2. You will remain liable for all charges accrued on your account up to the time of cancellation. Upon cancellation, your account will enter a 30-day soft deletion period during which your data will be retained but your access will be disabled. If you do not request reactivation within this period, your account and all associated content will be permanently deleted and will not be recoverable. Runway Financial Forecast Platform is under no obligation to retain or restore your content after this period.

3. Runway Financial Forecast Platform reserves the right at any time, and without cost, charge, or liability, to terminate this Agreement at its sole discretion for any reason, including but not limited to failure to comply with the terms of this Agreement. Runway Financial Forecast Platform also reserves the right to modify, suspend, or discontinue the Site and/or Services, or any portion thereof, at any time and for any reason, with or without notice.

4. If you choose to delete your account, it will enter a soft deletion state for a period of 30 days. During this time, your data will be retained but your account will be deactivated and inaccessible. If you wish to rejoin within this 30-day period, you may contact us, and we will reactivate your account and relaunch the onboarding process for you. After the 30-day period, your account and all associated data will be permanently deleted and cannot be recovered.

5. We do not sell, trade, or rent your personal information to any third parties. However, we use third-party services such as Stripe for secure payment processing. These services may collect and process your information as needed to perform their functions, in accordance with their respective privacy policies.

Miscellaneous

1. If there is any dispute between you and Runway Financial Forecast Platform about or involving this Agreement, the Site or the Services, you hereby agree that the dispute will be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein without regard to its conflict of law provisions.

2. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

3. Except for any claim involving the ownership of intellectual property, all disputes arising out of or in connection with this Agreement will be referred to and finally resolved by arbitration under the rules of the British Columbia International Commercial Arbitration Centre. The appointing authority will be the British Columbia International Commercial Arbitration Centre. The case will be adjudicated by a single arbitrator and will be administered by the British Columbia International Commercial Arbitration Centre in accordance with its rules. The place of arbitration will be Vancouver, British Columbia, Canada. The language of the arbitration will be English. Notwithstanding the foregoing, Runway Financial Forecast Platform may seek and obtain injunctive relief in any jurisdiction in any court of competent jurisdiction and you agree that this Agreement is specifically enforceable by Runway Financial Forecast Platform through injunctive relief and other equitable remedies without proof of monetary damages.

4. If any portion of this Agreement is deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole will not be deemed unlawful, void or unenforceable, but only that portion of this Agreement that is unlawful, void or unenforceable will be stricken from this Agreement.

5. You agree that if Runway Financial Forecast Platform does not exercise or enforce any legal right or remedy which is contained in the Agreement (or which Runway Financial Forecast Platform has the benefit of under any applicable law), this will not be taken to be a formal waiver of Runway Financial Forecast Platform’s rights and that those rights or remedies will still be available to Runway Financial Forecast Platform.

6. The sections of “Submission of Content”, “Intellectual Property Rights”, “Confidential Information”, “Disclaimer of Warranties”, “Third Party Sites and Content”, “Exclusive Remedy and Limitation of Liability”, “Waiver of Jury Trial and Class Action Rights”, “Limitation of Time”, “Indemnity” and “Miscellaneous” will survive any actual or purported termination or expiry of this Agreement and continue in full force and effect.

7. This Agreement is the entire agreement between us related to the subject matter in this Agreement. This Agreement replaces and supersedes any other prior or contemporaneous agreement, representation or discussion, oral or written, and may not be changed except in writing signed by us, regardless of whether or not the parties act under an unsigned “electronic” agreement or rely on such an unsigned agreement.
